Adinda SO.LEK - SO.LEK Agent Stockist Programme Terms & Conditions

Agreement is made between Ringgit Board Holdings Sdn. Bhd. (hereinafter referred to as “SO.LEK”) Registration No.: 332595-D having residential address 13A. Jalan Tun Mohd Fuad 3, Taman Tun Dr. Ismail 60000 Kuala Lumpur and you (hereinafter referred to as “Agent”).

1. Registration fee: RM100 (waived)
2. SO.LEK shall appoint the Agent based on calendar month. If Agreement is made on the 18^th of January, Agent should be considered to start on the 1^st of January
3. Agent must meet the minimum age of 18 years old (year calendar)
4. Agent must abide by the rules and regulations of SO.LEK.
5. Ringgit Board Holdings Sdn. Bhd. is the rightful owner of all SO.LEK’s products inclusive of marketing collaterals.
6. Both SO.LEK and Agent agree to keep the contents of this contract strictly confidential.
7. All terms and conditions of this contract are between SO.LEK and Agent and may not be transferred or granted without the permission of the other.
8. SO.LEK reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time.
   
   

1. Agent shall restock every month except for the trial period (REFER POINT 4. RESTOCK AND TERMINATION).
2. Agent is responsible for any payment due from customers.
3. Agent shall maintain a record of all gross sales monthly and prepare to submit to SO.LEK (if need be).
4. Agent is responsible and must insure all the stock in their premises at their own expenses.
5. Agent is encouraged to use the word “solekcosmetics” in their business account username followed by their location or name or both (Example: Instagram @solekcosmetics_aina or @solekcosmetics_subang).
6. Agent shall participate in all advertising and promotional activities directed by SO.LEK.
7. Agent is NOT allowed to sell at a price lower or higher than price set by SO.LEK unless stated otherwise.
8. Agent must at all time protects the good name of SO.LEK.
9. Agent may not alter, copy, reverse code or duplicate the products or any portion thereof, without the written consent of SO.LEK.
   
   

PART C: SO.LEK’S RESPONSIBILITY

1. SO.LEK shall make best effort to deliver stocks within 7 days upon completion of payment.
2. SO.LEK shall provide marketing materials for the Agents which is to be updated regularly. Marketing materials are not limited to product photos.
3. Paper bags shall be provided at a cost or while stocks last.
4. SO.LEK shall include Agent in all distributor’s listings.
5. SO.LEK shall organize either online or offline coaching weekly at SO.LEK’s discretion.
6. Chat support group (Telegram) is provided for team-sharing sessions and questions to SO.SO.LEK.
7. SO.LEK will provide incentives in terms of monetary values or materials subject to Agent’s performance and at SO.LEK’s discretion.
8. SO.LEK shall advice the products to be taken by Agent appropriately, according to current price.
   
   

1. The trial period for Agent is TWO (2) months and upon agreeing to become our Agent, it is compulsory for Agent to restock every month.
2. For each restock, Agent is required to purchase at least ONE (1) Package A.
   
   

    Scenario

   Can Agent purchase 3 pieces of Gincu and 3 pieces of Kilat?
   No. Agent has to purchase a minimum of 6 Gincu OR 5 Kilat. A feasible solution would be to purchase 6 Gincu (Package A) and add on 3 Kilat.

3. Agent has the right to change the package each month provided that they meet the minimum requirement upon the first restock of the month.
   
   

   Scenario

   Agent has chosen Package C in January and would like to downgrade to Package A in February. Is this permitted?
   Yes. This is because Agent has already achieved the minimum restock requirement (Package A).

4. Add-On: Should Agent feel the need to restock below the minimum requirement within the same month, Agent will be given the right to do so at the price of Package A with no minimum quantity.
   
   

    Scenario

    On the 1^st of February, Agent A has restocked 25 pieces of Gincu (Package
    B). On 15^th of February, Agent A decided to restock 5 units in which case
    they will be given the price of Package A.   

5. For a breach of contract by the Agent, SO.LEK reserves the right to cancel or withdraw the appointment of Agent with immediate effect.
6. Should any actions by the Agent before or after termination be harmful to the image of the brand, SO.LEK has the right to take legal actions if need be.
7. Upon termination, Agent must immediately return all unpaid products, if any, or materials belonging to SO.LEK.

PART E: PAYMENT AND DELIVERY

1. Agent shall make payment of registration fee and purchase amount to SO.LEK using any of the following mode of payment:
   
   Buy Now, Pay Later (coming soon)
   Online Banking
   Cash Deposit
   Cheque (delivery will be made only after cheque clearance)
   Proof of payment should be sent by SMS, Whatsapp or email at the address below
   
   
2. Delivery
   
   Self-collect at SO.LEK HQ
   Delivery cost is incurred by Agent
   Failure to deliver by the courier or failure to collect after notice is given is at the agent's expense

PART F: LIABILITY CLAUSE

1. SO.LEK will not be responsible for any damages on the products that is due to carelessness during delivery process, storage system or natural disasters.
2. Agent shall inspect all products and shall report any discrepancies or defective items within TWO (2) days after receiving and return them within SEVEN (7) days after reporting. Failures to do so, all products will be deemed to have been delivered in good and merchantable conditions.
3. Exchange of products or refund after delivery of products from SO.LEK to Agent is strictly not allowed.
